Terms of Service

1. Acceptance

By accessing or using 1stli (the "Service") operated by 1stli Ltd ("we", "us", "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms apply to all users, including visitors, free-tier users, and paying subscribers.

2. Nature of the Service

1stli is a data access and query layer. We provide tooling that connects to third-party data sources you configure ("Connectors") and enables you to query, explore, and route that data. We do not host, own, or control the underlying data accessed through Connectors. All data remains at rest within the systems operated by the respective third-party providers.

You acknowledge and agree that:

  • 1stli has no visibility into, or responsibility for, the content of data held by your Connectors.
  • The availability, accuracy, and integrity of data is determined solely by the respective third-party connector provider.
  • You are solely responsible for ensuring that your use of the Service complies with any obligations you have to the third parties whose systems you connect.

3. Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the organisation you represent. By using the Service you represent that these requirements are met.

4. Your Account

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at security@1stli.com if you suspect unauthorised access. We are not liable for losses arising from unauthorised use of your account.

5. Acceptable Use

You agree not to use the Service to:

  • Access data you are not authorised to access.
  • Violate any applicable law or regulation.
  • Introduce malicious code, conduct denial-of-service attacks, or attempt to circumvent security measures.
  • Resell or sublicence the Service without our prior written consent.
  • Reverse-engineer, decompile, or otherwise attempt to derive source code from the platform.

6. Third-Party Connectors

Connecting your data sources to 1stli requires you to authorise access using credentials (API keys, OAuth tokens, etc.) issued by those third-party providers. You are solely responsible for:

  • Ensuring you have the right to grant 1stli access to those systems.
  • Compliance with the terms of service of each third-party connector.
  • The security and management of credentials you share with us.

We are not responsible for any breach, data loss, or service disruption originating from third-party connector systems. All data leaks, losses, or exposure events that arise from the third-party systems themselves are entirely outside our control and liability.

7. Intellectual Property

All rights in the 1stli platform, including software, design, and documentation, are owned by 1stli Ltd or its licensors. Nothing in these Terms transfers any intellectual property rights to you. You retain ownership of your data and the output you generate.

8. Fees & Payment

Paid plans are billed in advance on a monthly or annual basis. All fees are non-refundable unless required by law or stated otherwise in your subscription agreement. We reserve the right to change pricing with 30 days' notice.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that: (a) the Service will be uninterrupted or error-free; (b) data retrieved through Connectors will be accurate, complete, or current; or (c) any defects will be corrected. You use the Service at your own risk.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, 1STLI LTD AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF (OR INABILITY TO USE) THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (I) THE AMOUNTS YOU PAID US IN THE THREE MONTHS PRECEDING THE CLAIM, OR (II) ONE HUNDRED POUNDS STERLING (£100).

IN PARTICULAR, WE ACCEPT NO LIABILITY WHATSOEVER FOR:

  • Data breaches, leaks, or exposure events originating in third-party connector systems.
  • Loss of data held by third-party providers.
  • Inaccurate or incomplete data returned from Connectors.
  • Actions taken by AI agents or queries you construct using the Service.

11. Indemnification

You agree to indemnify, defend, and hold harmless 1stli Ltd and its affiliates from any claims, liabilities, damages, costs, and expenses (including reasonable legal fees) arising from: (a) your use or misuse of the Service; (b) your violation of these Terms; or (c) your violation of any third party's rights.

12. Termination

Either party may terminate these Terms at any time. We may suspend or terminate your access immediately if you breach these Terms. Upon termination, your right to use the Service ceases and we will handle your data as described in our Privacy Policy.

13. Changes to Terms

We may update these Terms from time to time. We will provide at least 14 days' notice of material changes via email or in-app notification. Continued use after the effective date constitutes acceptance.

14. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
